OYLIN TERMS OF SERVICE

These Terms govern use of oylin.com and purchases from OYLIN. By using the site, approving a quotation or Shop Drawing, paying an invoice or deposit, or placing an order, you agree to these Terms and the policies linked on this site.

1. BUSINESS AND CONTACT
OYLIN operates from No. 6 Yongping Street, Yongning Community, Xiaolan Town, Zhongshan City, Guangdong Province, China, 528400. Contact: sales@oylin.com.

2. PRODUCTS AND NATURAL MATERIALS
OYLIN designs natural-stone lighting, samples, and related objects. Stone varies naturally in colour, veining, translucency, texture, inclusions, and light transmission. Samples, photographs, renders, and screen colours are indicative and do not guarantee an identical finished appearance. These inherent variations are not defects.

3. QUOTATIONS AND ORDERS
A quotation is valid only for the period stated and covers only the listed scope. An order is accepted when OYLIN confirms it in writing and receives the required payment. We may decline or cancel an order before acceptance, correct obvious pricing or specification errors, or request additional project information.

4. DESIGN-DEVELOPMENT SERVICE
Where a separate design-development service is included, its scope, fee, deliverables, revision allowance, timing and any production-order credit will be stated in the applicable proposal or written agreement. Design fees compensate work performed under that agreed scope. A new direction, additional variants or work outside the agreed scope may be quoted separately. Any rights that cannot be excluded under applicable law remain unaffected.

5. SHOP DRAWINGS, APPROVAL, AND DEPOSIT
Where project-specific drawings are required, the timing for drawing preparation and review will be confirmed for the project. The client is responsible for checking dimensions, quantities, mounting conditions, electrical requirements, finishes, site access, coordination and all other project information.

Production timing begins once both the 50% deposit has been received and the final production specifications and material approval have been completed, unless different terms are agreed in writing for a specific order.

Before non-recoverable material purchasing, custom engineering or formal production costs have been incurred, cancellation may be eligible for a partial deposit refund after deducting actual non-recoverable costs already committed to the order. Once confirmed materials have been purchased, custom engineering has begun, or formal production has started, the 50% deposit is non-refundable. This does not limit any rights that cannot be excluded under applicable law.

6. CHANGES
Changes requested after concept sign-off, drawing approval, procurement or production may affect price and lead time. Early minor changes may be charged at the actual direct difference in materials or components.

If a requested change affects completed engineering, committed materials or work already in production, an additional change fee of up to 10% of the total order value may apply. Any direct material, component or specification cost difference will also be identified.

OYLIN may refuse a change that is unsafe or no longer practicable. All additional cost and timing impacts will be confirmed in writing before work proceeds.

7. LEAD TIMES
Timing for Sample Box delivery, design development and project-specific drawing preparation or review is confirmed according to the applicable product, destination, shipping method and project scope.

Estimated production time is typically 8–9 weeks for lighting and large furniture, and 6–7 weeks for trays and decorative objects, unless otherwise confirmed for the order. Production timing begins once both the 50% deposit has been received and the final production specifications and material approval have been completed. Complex, oversized, scarce-material or first-article projects may require a project-specific schedule.

Priority scheduling may be available for selected orders and is quoted individually based on production capacity, material availability and project requirements. Any additional cost and revised timing will be confirmed in writing before priority scheduling proceeds.

Lead times are estimates and exclude client review, revisions, public holidays, transit, customs, force majeure, and events outside OYLIN’s reasonable control.

8. TECHNICAL INFORMATION
Project deliverables may include Rhino 3DM, AutoCAD DWG, KeyShot renders, material and light maps, photometric IES data, Bills of Materials, unroll patterns, and tolerance information as stated in the applicable quotation. Revit families are not publicly issued. Where included, a project-specific RVT family is produced after drawing approval for project coordination. Technical files are design intent and coordination information; licensed local architects, engineers, electricians, installers, and code consultants remain responsible for compliance, calculations, approvals, installation, and site safety.

9. PAYMENT
Payment is due in the currency, stages and deadlines shown on the invoice or quotation. Made-to-order projects are generally confirmed on a 50% deposit and 50% balance before shipment basis, unless different terms are agreed in writing for a specific order.

Bank, card, currency-conversion, tax and collection charges may be passed through where permitted. OYLIN may pause design, procurement, production or shipment while payment is overdue.

Delivery and freight terms are confirmed for each order according to the destination, carrier and agreed quotation or order documentation. OYLIN does not apply one universal Incoterm to every order.

Any provisions concerning title, risk of loss or carrier instructions apply only as stated in the accepted order documentation and subject to applicable law.

10. DELIVERY, IMPORTS, AND INSTALLATION
Delivery and freight terms are confirmed for each order according to the destination, carrier and agreed quotation or order documentation. OYLIN does not apply one universal Incoterm to every order.

Duties, taxes, customs clearance and import responsibilities depend on the destination and the freight terms agreed for the order. Any applicable responsibilities are confirmed in the quotation or order documentation before shipment.

Where a customer appoints their own freight provider, transit responsibility follows the customer’s arrangement with that carrier. OYLIN remains responsible for confirmed manufacturing defects or incorrect goods.

Unless expressly included, the customer remains responsible for installation, lifting, storage, site protection, local permits and site access. Installation must be performed by qualified professionals in accordance with approved drawings, local electrical rules, structural requirements and manufacturer instructions.

11. RETURNS AND CLAIMS
Returns, cancellations, damage claims and refunds are governed by the Return & Refund Policy. Any return request for a Sample Box will be reviewed under the Return & Refund Policy and must receive prior written approval from OYLIN.

Because OYLIN pieces are made to order, ordinary change-of-mind returns may not be available once materials have been committed, custom engineering has begun or production has started.

If an item materially differs from the confirmed order specification or a manufacturing issue is confirmed, OYLIN will review the case and arrange an appropriate corrective solution. Depending on the circumstances, this may include a replacement component, repair support, remake, replacement shipment, partial refund or another appropriate remedy.

12. INTELLECTUAL PROPERTY
OYLIN retains all copyright, design rights, know-how, models, drawings, renders, specifications, and other intellectual property unless a written agreement expressly transfers them. After full payment, the client may use project deliverables solely to coordinate, specify, install, operate, and maintain the purchased OYLIN products for the named project. Files may not be used to manufacture copies, reverse engineer products, or create derivative commercial designs.

13. WEBSITE USE
You must not misuse the site, interfere with security, introduce malicious code, scrape protected content, impersonate another person, or use OYLIN content without permission. Third-party services and links are governed by their own terms.

14. WARRANTIES AND LIABILITY
Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded. To the maximum extent permitted by law, OYLIN is not liable for indirect, incidental, special, consequential, or loss-of-profit damages, or for damage caused by incorrect site information, unauthorized modification, improper storage, handling, installation, maintenance, voltage, environmental conditions, or normal variation in natural stone. Any aggregate liability relating to an order will not exceed the amount paid to OYLIN for the affected product, except where such limitation is prohibited.

15. FORCE MAJEURE
OYLIN is not responsible for delay or failure caused by events beyond reasonable control, including material shortage, quarry variation, carrier disruption, customs action, labour disruption, epidemic, natural disaster, war, government action, or power and network failure. We will communicate material delays and seek a reasonable solution.

16. GOVERNING TERMS
These Terms, the accepted quotation, approved Shop Drawings, invoice, and published policies form the agreement. If they conflict, the signed project quotation or contract prevails for that project. Mandatory consumer law in the buyer’s jurisdiction continues to apply where it cannot be waived.
